The Gold Baron Wholesale Terms & Conditions

Effective Date: September 24, 2026

These Wholesale Terms and Conditions ("Wholesale Terms") govern participation in The Gold Baron Wholesale Program ("Wholesale Program") and wholesale purchases made from The Gold Baron ("The Gold Baron," "we," "us," or "our").

By applying for the Wholesale Program, accepting these Wholesale Terms electronically, signing a wholesale application, accessing wholesale benefits, or placing a wholesale order after approval, you agree to these Wholesale Terms on behalf of yourself and the business or organization identified in your application.

If you are accepting these Wholesale Terms on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Wholesale Terms.

1. Wholesale Program Eligibility

The Wholesale Program is intended for legitimate businesses, dealers, resellers, retailers, coin shops, online sellers, live sellers, content creators engaged in commercial activity, distributors, and other organizations approved by The Gold Baron.

Submission of an application does not guarantee approval.

The Gold Baron may consider information including, but not limited to:

Business type and history
Current or anticipated sales activity
Website, storefront, marketplace, auction, or social media presence
Resale or tax documentation
Expected purchasing activity
Intended use of the Wholesale Program
Prior business relationship with The Gold Baron
Compliance with these Wholesale Terms

The Gold Baron reserves the right to approve or decline any application to the extent permitted by law.

Approval applies only to the business or organization identified in the approved application and may not be transferred to another person or business without written approval from The Gold Baron.

2. Accuracy of Application Information

Wholesale applicants and approved Wholesale Customers must provide accurate, complete, and current information.

You agree to notify The Gold Baron if material information provided in your application changes, including your business ownership, legal business name, contact information, tax or reseller status, or authority to represent the business.

Providing false, misleading, fraudulent, or materially incomplete information may result in denial, suspension, or termination of wholesale access.

3. Wholesale Account Access

Approved Wholesale Customers may be granted account-based access to private wholesale discounts, wholesale catalog features, dealer information, or other benefits.

Wholesale access is tied to the approved customer account and may not be shared, transferred, sold, loaned, or made available to unauthorized individuals or businesses.

You are responsible for maintaining the security of your account credentials and for activity conducted through your account.

If you believe your account has been accessed without authorization, you must notify The Gold Baron promptly.

4. Wholesale Catalog and Product Eligibility

The Wholesale Program provides approved customers with access to private wholesale discounts on select products.

Products appearing in the wholesale catalog are products that may qualify for wholesale pricing. They are not necessarily exclusive products and may also be available through The Gold Baron's regular retail catalog.

Not every product sold by The Gold Baron is eligible for wholesale pricing.

Eligibility may vary by:

Product
Product category
Inventory level
Supplier requirements
Market conditions
Customer account
Order quantity
Promotional status
Other commercial considerations

The Gold Baron may add or remove products from wholesale eligibility at any time.

5. Wholesale Pricing

Wholesale pricing and discount levels vary by product and may change without prior notice based on market conditions, product costs, supplier pricing, inventory, availability, or other business considerations.

Approval for the Wholesale Program does not guarantee a particular discount percentage, price, margin, product selection, or purchasing opportunity.

The wholesale price applicable to an order is the price made available to the approved customer at the time the order is placed, subject to correction of obvious pricing or technical errors.

Precious metals and other market-sensitive products may change in price frequently.

Wholesale Customers are responsible for reviewing the final price of each item and the total order before submitting payment.

6. Confidentiality of Wholesale Information

Wholesale pricing and other nonpublic information made available because of participation in the Wholesale Program are confidential.

Confidential information may include:

Wholesale prices
Wholesale discount percentages or tiers
Dealer-only promotions
Nonpublic product or inventory information
Nonpublic supplier or sourcing information
Custom project pricing
Dealer communications
Other information that is identified as confidential or would reasonably be understood to be nonpublic business information

Wholesale Customers may use this information for their own legitimate business purposes but may not publicly post, publish, distribute, disclose, or provide it to unauthorized third parties without written permission from The Gold Baron.

This restriction does not apply to information that:

Is already publicly available through no violation of these Wholesale Terms
Was lawfully known to the recipient without a confidentiality obligation
Was independently obtained from a lawful third-party source
Must be disclosed pursuant to applicable law, court order, or governmental requirement

Nothing in this section prevents a Wholesale Customer from determining and displaying its own lawful resale prices.

Unauthorized disclosure of confidential wholesale information may result in suspension or termination of wholesale access.

7. Coupons, Affiliate Codes, Promotions, and Discount Stacking

Wholesale pricing is not intended to be combined with retail coupons, affiliate discount codes, promotional codes, or other discounts unless The Gold Baron expressly states otherwise.

Wholesale Customers may not intentionally use, attempt to use, or circumvent site controls to combine wholesale discounts with:

Affiliate coupon codes
Retail coupon codes
Promotional discounts
Customer-specific discounts
Other offers that The Gold Baron identifies as non-stackable

If a coupon or other prohibited discount is applied to an order receiving wholesale pricing, The Gold Baron may:

Remove the coupon or promotion
Remove the wholesale discount
Prevent checkout until the conflict is resolved
Correct the order total
Cancel the affected order and refund amounts paid
Suspend or terminate wholesale privileges in cases of intentional or repeated misuse

Affiliate commissions are not earned on wholesale purchases unless The Gold Baron expressly authorizes otherwise in writing.

Wholesale Customers may not use their own affiliate code, another person's affiliate code, or any arrangement intended to generate affiliate compensation from purchases receiving wholesale pricing.

8. Minimum Purchase Requirements

Certain wholesale discounts, products, promotions, shipping benefits, or pricing levels may require a minimum qualifying purchase.

Applicable minimums will be communicated through the website, wholesale catalog, checkout, quote, invoice, or other written communication.

Only qualifying purchases count toward a minimum unless otherwise stated.

The Gold Baron may change wholesale minimums prospectively at any time.

9. Resale and Tax Documentation

Approval for the Wholesale Program does not automatically make a purchase exempt from sales tax.

Wholesale Customers are responsible for providing any valid reseller permit, resale certificate, exemption certificate, or other documentation required by the applicable taxing authority.

The Gold Baron may collect sales tax unless and until satisfactory exemption documentation has been provided and accepted.

Wholesale Customers are responsible for:

Ensuring that exemption documentation is accurate and valid
Using tax-exempt purchasing privileges only for qualifying purchases
Renewing or updating documentation when required
Notifying The Gold Baron if an exemption or reseller authorization expires, is revoked, or otherwise becomes invalid
Paying any taxes, penalties, interest, or other amounts resulting from improper use of tax-exempt purchasing privileges for which the customer is legally responsible

The Gold Baron may request additional documentation before processing a tax-exempt transaction.

10. Resale of Products

Unless a product is subject to a specific written restriction communicated by The Gold Baron, Wholesale Customers generally determine their own resale channels and resale prices.

Wholesale Customers are responsible for complying with all laws, regulations, marketplace rules, supplier requirements, advertising requirements, and other obligations applicable to their resale activities.

If a manufacturer, mint, supplier, licensor, or other rights holder imposes an applicable advertising, distribution, territorial, marketplace, or resale restriction, The Gold Baron may require Wholesale Customers to comply with that restriction as a condition of purchasing or reselling the affected product.

Wholesale Customers may not misrepresent themselves as employees, agents, franchisees, partners, or official representatives of The Gold Baron.

11. Orders and Acceptance

Product availability is not guaranteed.

An order may be subject to inventory availability, payment verification, supplier availability, pricing verification, fraud review, legal compliance, and other ordinary order-processing requirements.

The Gold Baron may decline or cancel an order before fulfillment when reasonably necessary due to circumstances including:

Insufficient inventory
Supplier unavailability
Pricing or technical errors
Payment failure
Suspected fraud
Violation of these Wholesale Terms
Legal or regulatory requirements
Product restrictions

If The Gold Baron cancels a paid order, amounts paid for the canceled portion of the order will be refunded through an appropriate payment method.

12. Pre-Orders, Pre-Release Products, By Request Products, and Allocations

The Gold Baron may offer products before their official release date, before physical inventory has been received, while inventory remains available through a supplier, or before The Gold Baron's final allocation has been determined.

Products may be identified as a pre-order, pre-release, By Request, or by another similar designation.

A product displaying a By Request ribbon or similar designation may not currently be held in The Gold Baron's physical inventory. In such cases, The Gold Baron may attempt to order or secure the product from a supplier after the Wholesale Customer places the order or submits a request.

Availability of By Request products is not guaranteed until The Gold Baron successfully secures the product from the applicable supplier.

For certain pre-orders or pre-release products, The Gold Baron may accept customer requests before knowing the quantity that will ultimately be allocated to The Gold Baron by the applicable mint, manufacturer, distributor, or supplier.

In those situations:

A customer's request does not guarantee fulfillment.
The quantity requested may exceed the quantity ultimately available to The Gold Baron.
The Gold Baron may receive an allocation smaller than the total quantity requested by its customers.
If available inventory is insufficient to satisfy all requests, The Gold Baron will determine how available units are allocated among customers.
A Wholesale Customer may receive fewer units than requested or may receive no units.
The Gold Baron may cancel or reduce affected quantities and refund any amounts paid for units that cannot be fulfilled.

The Gold Baron may consider factors such as order timing, quantities requested, supplier allocation, existing commitments, account history, fairness among customers, or other reasonable business considerations when distributing limited allocations.

Unless expressly stated otherwise, submission or payment of a pre-order or request does not create a guarantee that the full requested quantity will be allocated.

Estimated release dates, supplier delivery dates, allocation dates, and shipping dates are estimates only and may change.

Delays may occur because of circumstances including:

Manufacturer or mint production schedules
Supplier allocation
Inventory shortages
Transportation delays
Customs or import delays
Grading or certification delays
Embargoes or release-date restrictions
Supplier shipping schedules
Market demand
Weather or other events outside The Gold Baron's reasonable control

Certain products may be subject to manufacturer, mint, licensor, distributor, or supplier embargoes that prohibit shipment, delivery, publication, resale, or other activity before a specified date. Wholesale Customers agree to comply with any applicable embargo or release restriction communicated by The Gold Baron.

The Gold Baron may receive a By Request, pre-order, or pre-release product from a supplier before it is ready to ship to the Wholesale Customer. Additional processing, inspection, order consolidation, packaging, internal fulfillment, grading coordination, allocation processing, or other handling may be required after The Gold Baron receives the product.

Accordingly, a By Request or pre-ordered product may not ship immediately after The Gold Baron receives it. In some circumstances, shipment to the Wholesale Customer may occur approximately one week or more after The Gold Baron receives the product.

The timing described above is not a guaranteed fulfillment period.

By purchasing or requesting a pre-order, pre-release, or By Request product, the Wholesale Customer acknowledges that:

The product may not currently be in The Gold Baron's possession.
The Gold Baron may need to obtain the product from a third-party supplier.
The Gold Baron's final allocation may not yet be known.
The quantity ultimately received may be less than the quantity requested by customers.
The Wholesale Customer may receive fewer units than requested or no units.
Estimated dates may change.
Supplier fulfillment may be delayed.
The product may become unavailable despite having been offered for order or request.
The order may ship separately from other products.
Embargoes or release restrictions may delay shipment or resale.
The Gold Baron may require additional processing time after receiving the product.

If The Gold Baron is ultimately unable to obtain or fulfill all or part of a requested or pre-ordered quantity, The Gold Baron may reduce or cancel the affected quantity and refund amounts paid for the unfulfilled portion.

Unless otherwise stated for a particular item or transaction, delays to estimated release, allocation, or shipping dates do not automatically entitle the Wholesale Customer to compensation beyond any rights provided under applicable law or The Gold Baron's applicable cancellation and refund policies.

Unless The Gold Baron expressly agrees otherwise in writing, payment is required at the time an order is placed for all pre-order, pre-release, and By Request products.

Payment does not guarantee that the full quantity requested will be allocated or available. If The Gold Baron receives fewer units than requested, is unable to secure the product, or is otherwise unable to fulfill all or part of the order, the customer will receive a refund for any quantity that cannot be fulfilled.

The Gold Baron may, at its discretion, offer alternative payment arrangements or payment-after-allocation terms to certain customers or for particular products. Any such arrangement must be expressly communicated by The Gold Baron and does not establish an ongoing right to credit or deferred payment on future orders.

13. Payment

Wholesale Customers must use payment methods accepted by The Gold Baron for the applicable order.

Available payment methods, payment deadlines, payment-method discounts or fees, and transaction thresholds may vary and will be communicated through the website, checkout, invoice, quote, or other written communication.

Orders paid by ACH, eCheck, wire transfer, check, or another non-instant payment method may be held until payment has cleared.

Failure to make payment within a stated payment period may result in cancellation of the order.

The Gold Baron is not required to extend credit or payment terms to any Wholesale Customer unless separately agreed to in writing.

14. Pricing Errors

The Gold Baron attempts to maintain accurate pricing, but typographical, technical, programming, data-feed, supplier, or other pricing errors may occur.

If an obvious or material pricing error affects an order, The Gold Baron may contact the customer to offer the correct price or cancel and refund the affected item or order.

Nothing in this section is intended to limit any rights that cannot lawfully be waived.

15. Shipping and Delivery

Wholesale orders are subject to the shipping options, charges, restrictions, insurance provisions, and delivery policies applicable to the order.

Delivery estimates are estimates unless The Gold Baron expressly agrees otherwise in writing.

Wholesale Customers are responsible for providing a complete and accurate delivery address and promptly notifying The Gold Baron of any delivery issue.

Supplier-direct, By Request, pre-ordered, pre-release, or drop-shipped products may ship separately from other items in an order and may be subject to different processing or delivery timelines.

Orders containing both in-stock and delayed products may, at The Gold Baron's discretion, be held for consolidated shipment or divided into multiple shipments.

Additional shipping charges may apply where separate shipment is requested or otherwise agreed upon.

16. Returns, Cancellations, and Refunds

Wholesale purchases are subject to The Gold Baron's applicable return, cancellation, and refund policies unless different terms are disclosed for a particular product, order, quote, or custom project.

Certain products may have special restrictions because of:

Precious-metals price fluctuations
Custom manufacturing
Personalization
Special ordering
Pre-orders or pre-release status
By Request products
Supplier allocations
Limited availability
Third-party supplier requirements
Grading or certification services

A By Request or specially ordered product may become committed to a supplier after an order is placed. Where disclosed before purchase and permitted by applicable law, such orders may be non-cancelable or subject to special cancellation terms once The Gold Baron has committed to obtaining the product.

Any applicable restriction will be governed by the terms communicated for that transaction and applicable law.

If The Gold Baron cannot obtain a requested or pre-ordered product, or cannot fulfill the full quantity because of an allocation, the affected quantity may be canceled and amounts paid for that quantity refunded.

17. Custom Minting and Related Services

The Gold Baron may offer custom minting, manufacturing, finishing, colorization, grading coordination, packaging, or related services.

Available capabilities may include projects involving legal tender coins, medals, rounds, silver foils, colorization, grading, and other products or services.

Availability of a particular service is not guaranteed.

Custom projects are quoted individually and may be subject to separate written terms addressing matters such as:

Minimum order quantities
Artwork and design requirements
Proof approval
Production tolerances
Metal content and specifications
Minting or manufacturing costs
Tooling or setup charges
Deposits
Payment schedules
Grading fees
Packaging
Intellectual property rights
Licensing
Production schedules
Shipping
Cancellation
Refundability

Where separate project terms conflict with these Wholesale Terms, the project-specific written terms control for that project.

Wholesale Program approval does not guarantee approval of a custom minting project or eligibility for any particular custom-project pricing.

18. Customer-Supplied Artwork and Intellectual Property

For custom projects, the customer represents that it owns or has obtained all rights, licenses, permissions, and approvals necessary for any artwork, trademarks, logos, photographs, characters, text, designs, or other materials supplied to The Gold Baron.

The Gold Baron may decline any project when ownership or authorization is unclear or when the proposed use may violate applicable law, third-party rights, supplier requirements, or platform policies.

The customer is responsible for claims arising from materials supplied by the customer or from instructions directing The Gold Baron to reproduce content for which the customer lacks appropriate rights.

Nothing in these Wholesale Terms transfers ownership of The Gold Baron's trademarks, branding, photographs, website content, product descriptions, designs, or other intellectual property.

19. Product Images and Representations

Product photographs, mockups, renderings, descriptions, dimensions, colors, finishes, and packaging images are intended to accurately represent products but may not perfectly reflect every individual item. This is especially true of custom minted products. Concept artwork is conceptual only. The final result may differ.

Precious metals, natural gold, coins, collectibles, antiqued or colorized items, and other products may exhibit reasonable variations in appearance, toning, surface characteristics, packaging, or other attributes.

Where a product is sold as a random year, varied condition, assorted design, our choice, or similar designation, the specific item received may differ from representative imagery.

20. Grading and Third-Party Services

Where The Gold Baron facilitates grading, certification, authentication, minting, shipping, manufacturing, or other services performed by a third party, those services may also be subject to the third party's requirements, standards, turnaround times, determinations, and policies.

The Gold Baron does not guarantee a particular grade, designation, certification result, authentication result, production result, or turnaround time unless expressly agreed in writing.

21. Compliance With Law

Wholesale Customers are responsible for complying with applicable federal, state, local, and other laws and regulations relating to their business activities.

This includes, where applicable, requirements concerning:

Business licensing
Taxes
Resale
Advertising
Consumer protection
Precious metals
Coin and bullion sales
Import or export restrictions
Sanctions
Intellectual property
Marketplace rules

Wholesale Program approval is not a representation by The Gold Baron that a customer's business activities satisfy all applicable legal requirements.

22. No Agency or Partnership

Participation in the Wholesale Program does not create an employment, partnership, franchise, joint venture, fiduciary, representative, or agency relationship between the Wholesale Customer and The Gold Baron.

Wholesale Customers operate independently and are responsible for their own business activities.

23. Use of The Gold Baron Name and Branding

Wholesale Customers may accurately identify products purchased from The Gold Baron and may identify The Gold Baron as a supplier where appropriate.

Wholesale Customers may not:

Claim to be The Gold Baron
Impersonate The Gold Baron
Create confusion regarding ownership or affiliation
Represent themselves as an exclusive or official representative without written authorization
Register domains, social accounts, business names, or advertising identities that misleadingly use The Gold Baron name or trademarks
Alter or use The Gold Baron branding in a misleading or unauthorized manner

Any broader use of The Gold Baron trademarks or branded marketing materials requires permission.

24. Suspension or Termination of Wholesale Access

The Gold Baron may suspend or terminate Wholesale Program access when reasonably warranted, including for:

Violation of these Wholesale Terms
Fraud or suspected fraud
Abuse of discounts
Coupon or affiliate manipulation
Unauthorized disclosure of wholesale pricing
Payment disputes or unpaid balances
Misuse of tax-exempt purchasing privileges
Unauthorized account sharing
Misrepresentation of affiliation
Conduct that creates material legal, financial, or reputational risk for The Gold Baron
Materially false information in an application

A Wholesale Customer may discontinue participation in the program at any time.

Termination of Wholesale Program access does not eliminate obligations arising from orders or transactions completed before termination.

25. Changes to Wholesale Benefits

The Wholesale Program is an ongoing business program and may evolve over time.

The Gold Baron may prospectively modify:

Product eligibility
Wholesale discount levels
Minimum purchase requirements
Shipping benefits
Payment options
Program features
Qualification requirements
Available services

Approval for the Wholesale Program does not create a lifetime entitlement to any particular discount, price, product, service, or benefit.

26. Changes to These Wholesale Terms

The Gold Baron may update these Wholesale Terms from time to time.

When a material change is made, The Gold Baron will provide reasonable notice through email, the website, the customer's account, or another reasonable method before or when the revised terms become effective.

The updated terms will identify their effective date.

Continued participation in the Wholesale Program or use of wholesale benefits after revised terms become effective constitutes acceptance of the revised Wholesale Terms to the extent permitted by law.

If you do not agree to revised terms, you may discontinue participation in the Wholesale Program before the revised terms become effective.

Where applicable law requires affirmative consent to a particular change, The Gold Baron may require renewed acceptance before continued use of the Wholesale Program.

27. Electronic Communications and Acceptance

You consent to receiving Wholesale Program communications electronically at the email address and/or phone number associated with your account or application.

Electronic communications may include:

Application decisions
Program notices
Changes to these Wholesale Terms
Account notices
Order communications
Pricing or program information
Tax-documentation requests
Product offerings
Other communications relating to the Wholesale Program

Your electronic checkbox acceptance, electronic signature, submission of the Wholesale Application, or other electronic manifestation of agreement may be used as evidence of your acceptance of these Wholesale Terms.

You are responsible for maintaining a current email address associated with your wholesale account.

28. Disclaimer of Warranties

Except for warranties expressly provided in writing or warranties that cannot legally be excluded, products and services are provided subject to the warranties, if any, provided by the applicable manufacturer, mint, supplier, grading service, or other provider.

Nothing in these Wholesale Terms excludes or limits any warranty or right that cannot lawfully be excluded.

29. Limitation of Liability

To the fullest extent permitted by applicable law, The Gold Baron will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from participation in the Wholesale Program, including lost profits, lost business opportunities, lost anticipated resale revenue, or losses arising from delayed release, reduced allocation, or delivery of pre-order, pre-release, or By Request products.

To the fullest extent permitted by law, The Gold Baron's aggregate liability arising from a particular wholesale transaction will not exceed the amount actually paid to The Gold Baron for the product or service giving rise to the claim.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

30. Indemnification

To the fullest extent permitted by applicable law, the Wholesale Customer agrees to defend, indemnify, and hold harmless The Gold Baron and its owners, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable expenses arising from:

The Wholesale Customer's resale activities
False or misleading advertising created by the Wholesale Customer
Misuse of products
Violation of law by the Wholesale Customer
Unauthorized use of intellectual property
Customer-supplied artwork or materials
Misuse of reseller or tax-exempt purchasing privileges
Material violation of these Wholesale Terms

This section does not require indemnification for claims caused solely by The Gold Baron's own unlawful conduct to the extent such indemnification would be prohibited by law.

31. Governing Law

These Wholesale Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any legal action relating to these Wholesale Terms that is not otherwise required to be brought elsewhere by applicable law will be brought in a court of competent jurisdiction in Washington State.

32. Severability

If any provision of these Wholesale Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

An invalid or unenforceable provision will be interpreted or limited as necessary to most closely reflect its intended lawful purpose.

33. Waiver

Failure by The Gold Baron to enforce a provision of these Wholesale Terms on one occasion does not waive the right to enforce that provision or another provision in the future.

34. Assignment

Wholesale Customers may not assign or transfer their Wholesale Program rights, account, or obligations under these Wholesale Terms without prior written consent from The Gold Baron.

The Gold Baron may assign these Wholesale Terms in connection with a merger, acquisition, sale of the business, reorganization, or transfer of substantially all relevant assets, subject to applicable law.

35. Entire Agreement

These Wholesale Terms, together with any applicable order terms, invoices, quotes, custom-project agreements, and incorporated website policies, constitute the agreement relating to participation in The Gold Baron Wholesale Program.

If a separately signed or expressly accepted written agreement conflicts with these Wholesale Terms, the more specific written agreement controls with respect to the subject matter it addresses.
